Terms of Service
Last updated 27 October 2026
These Terms govern your use of Wakebooked (the "Service"), provided by [Company legal name], a company registered in India (CIN [CIN]), with its registered office at [Registered address, India] ("Wakebooked", "we", "us"). By creating an account you ("Customer", "you") agree to these Terms.
1. Who may use the Service
You must be at least 18 and use the Service for business purposes. If you accept on behalf of a company, you confirm you can bind it. The Service is not directed to children; you must not use it to collect data from children under 13 (or the age of digital consent where your attendees live).
2. The Service
Wakebooked lets you publish scheduled showings of pre-recorded presentations ("Programs"), registration pages, reminder emails and related analytics under your own branding. We may improve or change features; we will not materially reduce core functionality of a paid plan during a paid term without notice.
3. Your account
Keep your login details confidential. You are responsible for activity under your account and for your team members' compliance with these Terms. New workspaces may be reviewed before they can publish, to protect attendees and our email reputation.
4. Your content and your attendees
- You keep all rights to videos, logos, text and other material you provide ("Customer Content").
- You grant us a worldwide, non-exclusive licence to host, copy, transmit and display Customer Content only to provide the Service.
- You are the controller of personal data about your attendees ("Attendee Data"). We process it only on your instructions under our Data Processing Addendum, which forms part of these Terms.
- You confirm you have all rights and consents needed for Customer Content and Attendee Data, including rights to any video you link from third-party hosts.
5. Honest showings (required)
You must not use the Service to deceive attendees. In particular you must not present a pre-recorded Program as live; display invented attendees, viewer counts, chat messages, testimonials, purchases or reviews; use countdowns or scarcity claims that are not true; or make earnings, health or other claims you cannot substantiate. The Service includes safeguards for these rules (see our Honesty Charter). You are responsible for complying with laws that apply to your marketing, including the US FTC Act and 16 CFR Part 465, the CAN-SPAM Act and the TCPA.
6. Acceptable use
You must follow our Acceptable Use Policy. We may suspend content or accounts that violate it, infringe rights, or create legal or security risk, with notice where practical.
7. Third-party services
Programs may play video from providers you choose (for example YouTube, Vimeo, Bunny or Cloudflare). Your use of those providers is governed by their terms. We are not responsible for their availability.
8. Fees and payment
- Paid plans are billed in advance, monthly or yearly, in US dollars through our payment partner Razorpay. Prices are listed on our Pricing page.
- Plans renew automatically until cancelled. You can cancel at any time; access continues to the end of the paid period.
- Refunds follow our Cancellation & Refund Policy.
- We may change prices with at least 30 days' notice before your next renewal.
- If you exceed your plan's limits, new registrations may pause until you upgrade; we never charge overages without your consent.
- Applicable taxes may be added where required by law.
9. Trials and founding offers
Free trials last 14 days and need no card. Founding prices are offered at our discretion, on the terms stated when offered.
10. Availability and support
We aim for high availability but do not guarantee uninterrupted service. Support is by email at hello@example.com on business days.
11. Data protection and security
We implement reasonable technical and organisational measures described in the DPA. We will notify you without undue delay of a personal-data breach affecting your Attendee Data.
12. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform these Terms.
13. Intellectual property
We own the Service, its software and the Wakebooked brand. You own Customer Content. We may use feedback you give us without obligation.
14. Suspension and termination
You may close your account at any time. We may suspend or terminate for material breach not cured within 10 days of notice, immediately for serious violations of Sections 5–6, or for non-payment. After termination you can export your data for 30 days; we then delete it within 60 days, except where the law requires us to keep it.
15. Disclaimers
The Service is provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any sales, attendance or business results.
16. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Each party's total liability is limited to the fees you paid in the 12 months before the claim. These limits do not apply to your payment obligations, breach of Sections 5–6, or either party's indemnity obligations.
17. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Content, your marketing, or your violation of Sections 4–6. We will defend and indemnify you against third-party claims that the Service (excluding Customer Content) infringes intellectual-property rights.
18. Changes to these Terms
We may update these Terms. Material changes take effect 30 days after we notify you; continued use means acceptance.
19. Governing law and disputes
These Terms are governed by the laws of India. Courts at [City], India have jurisdiction, unless both parties agree to arbitration. Either party may seek urgent injunctive relief in any competent court. Nothing here limits rights that cannot be waived under the law that applies to you.
